Maxim Kuleshov speaks at the Pravo.ru Conference on Corporate Law and Corporate Governance
In the annual Pravo.ru conference, Corporate Law and Corporate Governance — 2023, held on October 20, KKMP Partner Maxim Kuleshov spoke in the session Corporate Law News - The impact of sanctions on corporate governance in 2022-2023.  

Maxim outlined the key issues to be considered when drafting a corporate agreement in view of the challenges presented by current conditions, and discussed a number of significant trends and issues, including:

  • the exclusion of holdings registered in "unfriendly" jurisdictions and the transfer of corporate agreements to Russian companies and their amendment to meet the requirements of Russian law

  • dispute resolution forum shopping

  • mechanisms to protect rights in the event of a breach of the corporate agreement

  • the risk of options becoming unexercisable because of regulatory approval requirements

The Bank of Russia, in conjunction with the Ministry of Finance, has published Recommendations on the development of long-term equity-based incentive programs for members of the executive bodies and other key employees of public joint-stock companies whose shares are admitted to organized trading, as well as joint-stock companies planning a public offering of their shares, (“Program”) with the aim of increasing their shareholder value (“Recommendations”). The document is part of a broader agenda to increase the market capitalization of the Russian stock market and develop equity-based management incentives. The Recommendations are not mandatory, but they effectively set a “best practice” standard for public companies.
