A team of KKMP lawyers represented Sber Group in the acquisition of a 41.9% stake in PJSC Element, a leading domestic manufacturer of microelectronics and semiconductors. Sistema PJSC Group, which owned 37.6% of the shares, withdrew completely. Also, 4.3% of shares were acquired from minority shareholders. The transaction amounted to RUB 27 billion. The transaction was successfully completed.

Key Changes in Chinese Legislation Affecting Foreign Investors: Revised “Provisions on Payment Guarantees for Small and Medium Enterprises (SMEs)” (effective from June 1, 2025).

On June 25, KKMP in collaboration with Fangda Partners, held a webinar dedicated to supply chain financing (SCF) and its potential significance in strengthening trade between China and Russia.

The Russian M&A market has been fundamentally transformed since 2022, forcing participants to be more adaptable and rethink their strategies. This transformation extends to negotiation practices and contractual terms, requiring a fresh perspective on the entire M&A process.

An open meeting of ICC Russia on Intellectual Property was held on July 1st. The discussion focused on the new draft federal law “On the Platform Economy in the Russian Federation”, submitted by the Ministry of Economic Development to the Russian Government in February 2025.

The Novosibirsk-based car dealership network "Autocity" (Autocity LLC) has announced a default on digital financial assets (DFAs) totaling 200 million rubles. This default is the first in Russia on such financial instruments.

On June 10, the Moscow Exchange has launched the calculation and publication of a Bitcoin index. It is calculated once a day – at 12:30 Moscow time. The calculation includes data on perpetual futures and swaps for the BTC/USDT pair from the following crypto exchanges: Binance, Bybit, OKX, and Bitget. The calculation is based on the weighted average price, taking into account trading volumes on each platform. The Moscow Exchange reports that the weighting coefficients will be reviewed quarterly.

Federal Law No. 275-FZ “On Amending the Federal Law ‘On Banks and Banking Activities’ and Certain Legislative Acts of the Russian Federation”, which allowed foreign banks to open branches in Russia and conduct certain banking operations through them, came into force on September 1, 2024. However, to date, no foreign bank has taken advantage of this opportunity.

Business succession is a complex and multifaceted process that, as practice shows, is fraught with conflicts and requires advance planning. It inevitably raises questions of both a commercial and legal nature. One of these is the fate of a corporate agreement concluded between business partners before the death of one of them.

“Legal Trends in M&A Transactions – 2025”, joint article by Valerian Mamageishvili, KKMP Senior Associate, Anastasia Nerchinskaya, and Alexander Koloskov, VERBA Legal Senior Associate, was published in “Joint Stock Company” journal. The article provides a brief overview of changes in the business landscape and the related trends and tendencies in the legal aspects of structuring M&A deals.

On May 23rd, amendments to legislation came into effect in Hong Kong, allowing foreign companies to re-register in this special administrative region of China. Now, Russian entrepreneurs seeking an alternative to “unfriendly” jurisdictions can consider Hong Kong alongside the UAE, Mauritius, or Seychelles.

Choosing a jurisdiction for resolving disputes with Chinese counterparts is a complex task, requiring careful analysis of numerous factors, including the enforceability of a judgment and the specific legislation of both countries. Kommersant Publishing House asked Chuck Peng, Head of KKMP China Desk, where businesses turn to resolve disputes arising from Russian-Chinese contracts.

The evolving market has amplified the value of Russian firms in sourcing and coordinating local counsel, while also creating greater opportunities for independent work on foreign law, as noted by Alyona Kucher, KKMP Senior Partner, in her article on Pravo.ru. This has effectively transformed Russian law firms into modern-day Russian “Ilfs” – resourceful problem-solvers navigating complex challenges.

Kyrgyzstan plans to launch USDKG – a state-backed stablecoin with a gold reserve and pegged to the US dollar – in the third quarter of 2025, targeting cross-border payments and international trade in Central Asia. Simultaneously, in the UAE, the country’s largest financial institutions, under the supervision of the Central Bank of the UAE, are issuing a stablecoin backed by the dirham, with the aim of accelerating and reducing the cost of payments, as well as developing the digital economy.

On May 27th, a roundtable discussion “Civil Code: Current Changes in Corporate Transaction Regulation” was held in Minsk . Experts discussed the application of Russian law in corporate transactions, the novelties of the Belarusian Civil Code, and the substitution of foreign law in corporate transactions.

Recently, Russian companies have begun to consider China as a venue for resolving international commercial disputes. However, despite the attractiveness of the prospect of a swift and efficient hearing, the cost of international arbitration in China remains a relevant issue.

Instruction No. 7036-U of the Bank of Russia “On Additional Requirements for Foreign Digital Rights That May Be Qualified as Digital Rights” (“Instruction 7036-U”) comes into force on May 26th.

On April 26, Senior Associate Valerian Mamageishvili acted as a moderator at the forum "The Experts 2025. Finance and Consulting" in the panel discussion "Structuring various types of transactions (M&A, financing) in the Russian Federation in modern realities".

On April 25, an article appeared in the Kommersant newspaper noting an increase in demand for services from large Russian banks not only from Chinese citizens, but also from companies. New individual clients are attracted by, in particular, favorable deposit and savings account offers, while companies are drawn to convenient settlement and cash services. This increase in demand for services from Russian banks is linked to the growing economic interaction between the two countries.

The II Belarusian Legal Forum took place in Minsk on April 24, organized by Grata International with KKMP support. KKMP was a headliner for two sessions: "Legal Aspects of Working with China – Q&A" and "Market of Digital Financial Assets".

From April 22nd to 24th, with KKMP support, the Dispute Resolution Club forum "Time to Build: Managing Construction Contracts and Resolving Construction Disputes" took place.

On April 24, Kommersant Publishing House presented the results of its annual ranking of legal consultants, identifying the most successful and in-demand law firms and practices in Russia. Traditionally, the federal ranking includes top legal practices and the best lawyers.

Since 2022, the Chinese market has become increasingly attractive to Russian companies. While previously, large state-owned companies were primarily working with China, now firms from a diverse range of sectors – from energy to electronics – are showing interest. However, doing business in China is not easy.

On April 22, the XV Russian M&A Congress took place in Moscow.

Conducting business with Chinese partners requires a careful approach, taking into account the specificities of Chinese law, negotiation culture, and potential legal risks. In an interview with the analytical portal Pravo.ru, as part of its ongoing research on China, KKMP’s Head of China Desk, Chuck Peng, discussed what Russian businesses should pay attention to when entering into transactions with Chinese counterparts.

In a special edition of Pravo.ru, experts analyzed current trends and features of the Chinese legal market, a complex and dynamic system that is strict both in terms of rules and scale of activity.

On April 21, within the framework of the course "International Banking Law," a joint lecture was held by KKMP Partner Anna Maximenko and Deputy Director of the Legal Department of the Bank of Russia Ekaterina Demkina on the topic "Digital Assets: A New Instrument of the Financial Market. Review, theory, practice."

There is no unified regulation for investment protection in BRICS countries, instead, bilateral and multilateral investment treaties (BITs) between BRICS member states are utilized. These agreements provide standard mechanisms, but with specific features and exceptions that investors must consider. For example, not all BITs allow for disputes to be referred to arbitration, and some only protect investments made for a certain period.

Analysts at Pravo.ru conducted a comprehensive study of the Russian legal market in China, ranking KKMP as #1 in the “Corporate Law/M&A” category. On February 24, the EU introduced significant updates to its sanctions regulation, affecting both sectoral sanctions and individual blocking sanctions. The UK also updated its list of sanctioned entities and individuals on the same day. These are the most extensive changes since the beginning of 2025.

Today, the EU Council published the 15th package of sanctions against Russian companies and individuals. In addition to new listings of Russian entities and individuals, the European sanctions legislation has been supplemented to include two new rules that must now be taken into account when initiating proceedings in Russian courts.

As businessmen in many countries, Memoranda of Understanding (MOU) and Letters of Intent (LOI) are often used by Chinese companies and businessmen. However, the Chinese use of MOUs and LOIs and the Chinese rules governing these legal documents are so different that they can cause major problems when doing business with China. Below are the key points to consider when signing a MOU/LOI.

On November 27, a joint meeting of the Compliance and Healthcare Committees of the American Chamber of Commerce in Russia was held on the issue of legal compliance of projects for the localization of production of pharmaceuticals and medical devices in the EAEU countries.

On November 27, the Federation Council approved a package of bills (Bill No. 502104-8 and Bill No. 502113-8) adopted in three readings by the State Duma the day before. The bills provide for significantly tougher liability for offences related to the processing of personal data.

Summarizing the results of 2024, Kommersant has published its traditional ranking “Deals of the Year”, which highlights the most significant M&A deals on the Russian market. On November 26, Bill No. 1065710-7 on Amendments to Parts One and Two of the Tax Code of the Russian Federation and Certain Legislative Acts of the Russian Federation was adopted in the second and third readings by the State Duma. The Bill sets forth the procedure for taxation of digital currency transactions.

On October 29, the State Duma passed the Draft Law on Tightening Antimonopoly Control over Transactions on Financial Markets in the first reading.

On October 30, the U.S. Treasury Department's Office of Foreign Assets Control (“OFAC”) and the U.S. Department of State added more than 400 companies and individuals to the sanctions lists. On the same day, the U.S. Department of Commerce's Bureau of Industry and Security (“BIS”) supplemented the Entity List (“Entity List”) comprising entities in violation of U.S. export controls.

For various reasons, China’s distinctive venture capital market has uncommon legal instruments. One such instrument is the Valuation Adjustment Mechanism (VAM), which permits to formalize the relationship between venture capital investor, target company and its founder, so that the financial performance of the company would provide additional benefits to the investor or founder.

In December 2022, certain European bar associations and lawyers, specifically, The Netherlands Bar of Brussels (Ordre néerlandais des avocats du barreau de Bruxelles) (Case No. T-797/22), The Bar Association of the Court of Paris (Ordre des avocats à la cour de Paris) (Case No. T-798/22) and ACE-Avocats (Case No. T-828/22) filed their claims with the General Court of the EU (“EU Court”) contending that the Court should repeal the prohibition on provision of legal advisory services imposed by “sectoral” Council Regulation (EU) No. 833/2014 (“Regulation 833/2014”) as part of the 8th package of sanctions. On 2 October 2024, the EU Court decided to uphold the prohibition making a few important conclusions that we include below.

At the end of April 2024, legislation ("H.R. 815 Act") was enacted in the U.S. providing for the extension of statute of limitations on violations of sanctions laws from 5 to 10 years.

We continue to monitor the status and development of initiatives related to confiscation of Russian assets in the US and EU. In spring, we published an overview of legal mechanisms and measures for the confiscation of Russian assets in these jurisdictions. Certain changes have occurred since then, which may affect the foreign assets of Russian persons.

On June 12, OFAC issued a significant update to the SDN list and tightened the US sanctions regulation. It targets the Russian financial infrastructure and Russia’s operations with third countries. The SDN list was also supplemented by the US State Department.

Prior to the Council of Europe's adoption, the Directive was approved by the European Parliament on March 12, 2024. It will enter into force 20 days after its publication in the Official Journal of the European Union. EU member states will have 1 year to transpose provisions of the Directive into their national legislation.
