The rapid development of AI is not only becoming an integral part of the practice of law, but is also transforming the business environment. Many consulting firms, including law firms, are developing the LegalTech trend by creating their own technological solutions. This approach makes it possible to combine expert knowledge in the field of law with an understanding of technological opportunities and limitations.

In the context of M&A transactions, the article discusses two key aspects of artificial intelligence application:

  1. application aspect - technical opportunities and limitations of applying AI solutions to M&A projects;

  2. legal aspect - changing the approach to legal due diligence and transactional documentation.

The Bank of Russia, in conjunction with the Ministry of Finance, has published Recommendations on the development of long-term equity-based incentive programs for members of the executive bodies and other key employees of public joint-stock companies whose shares are admitted to organized trading, as well as joint-stock companies planning a public offering of their shares, (“Program”) with the aim of increasing their shareholder value (“Recommendations”). The document is part of a broader agenda to increase the market capitalization of the Russian stock market and develop equity-based management incentives. The Recommendations are not mandatory, but they effectively set a “best practice” standard for public companies.
