The webinar covered a wide range of issues arising in connection with the conclusion of options within M&A transactions and their subsequent exercise. Specifically, the following were discussed:
nuances of drafting the option depending on its structure (option to conclude a contract or option agreement) and subject matter (shares or equity interests),
various types of options based on functionality and exercise conditions,
pledges, escrow, and other methods of securing obligations under the option,
tactics for the option holder whose exercise requires respecting the rights of third parties and obtaining regulatory approvals,
assignment of rights and obligations under options, as well as their transfer in the event of reorganization, inheritance, and division of marital property,
ways to protect against breaches of the option, including the prospects for enforcement and challenging transactions.
Throughout the discussion of these issues, our team shared its own experience working with options and a unique collection of case law.
All topics sparked significant interest from the audience, and the webinar culminated in an extended Q&A session where the speakers answered questions from attendees and exchanged opinions. We thank all listeners, both those present in person and those who joined remotely, for participating in the webinar!
