Redomiciliation of Foreign Holding Companies to the Russian Federation: Practical Aspects
On June 20, 2024, KKMP partner Anna Maximenko and senior associate Andrey Lipin held a seminar devoted to practical aspects of redomiciliation of foreign holding companies to the Russian Federation.

During the seminar, Anna and Andrey emphasized, among other things, certain important features of international companies primarily driving the increased popularity of the redomiciliation procedure, including:

  • the relative ease of "inbound" redomiciliation to Russia,

  • no need to obtain regulatory approvals in the Russian Federation for the redomiciliation, as well as subsequent obtaining resident international company status for the purposes of counter-sanctions regulation,

  • actual full-fledged legal succession between the foreign company and the international company,

  • flexibility in matters of international company corporate governance, including disapplication of imperative rules of Russian corporate law and possible application of foreign law, issue of various categories and types of shares and incentive program structuring,

  • maintaining public company status for the international company if the foreign company is listed,

  • possible restricted access to the information on ICOO participants in the Unified State Register of Legal Entities.

Anna and Andrey's presentation was followed by an extensive Q&A session and discussion of the most topical issues, especially various aspects of "accelerated" redomiciliation.

The Bank of Russia, in conjunction with the Ministry of Finance, has published Recommendations on the development of long-term equity-based incentive programs for members of the executive bodies and other key employees of public joint-stock companies whose shares are admitted to organized trading, as well as joint-stock companies planning a public offering of their shares, (“Program”) with the aim of increasing their shareholder value (“Recommendations”). The document is part of a broader agenda to increase the market capitalization of the Russian stock market and develop equity-based management incentives. The Recommendations are not mandatory, but they effectively set a “best practice” standard for public companies.
