Liability of Managers and Beneficiaries in Connection with Corporate Governance
On March 18, KKMP hosted a joint seminar with Rustam Kurmaev & Partners law firm dedicated to the current issues of liability of managers and beneficiaries in connection with corporate governance.

KKMP Counsel Roman Sadovsky, Senior Associate Elena Klutchareva, and Associate Violetta Drondina discussed in their presentations the current issues of civil liability, including subsidiary liability in the event of bankruptcy. They highlighted approaches to determining parties to “corporate” liability, conditions for holding them liable, and provided several practical examples of non-obvious cases when the management was held liable. Based on their analysis of legislation and practice, they offered a number of recommendations for mitigating risks and also spoke about D&O insurance.

 

Experts from Rustam Kurmaev & Partners – Partner Dmitry Gorbunov, Partner Dmitry Kletockin, and Senior Associate Irina Scherbakova – focused in their presentation on criminal liability. They thoroughly examined ways to protect top management from criminal prosecution and analyzed the risks associated with criminal liability for tax crimes and failure to fulfill contractual obligations.
