Elena Klyuchareva successfully defends her PhD thesis
We are pleased to announce that on December 14 KKMP Senior Associate Elena Klyuchareva defended her PhD thesis, Duties and Responsibilities of Members of Legal Entities’ Management Bodies under the Law of Russia, Germany, Great Britain and the State of Delaware (USA). Elena's supervisor was A.A. Kuznetsov, and she defended the thesis at the Russian Academy of National Economy and Public Administration.

The thesis considers, among other things:

  • The legal and historical background to the development of the duties of members of management bodies;

  • the content of and main characteristics of such duties;

  • the circumstances in which members of management bodies can be held liable for a breach of their duties;

  • the burden of proof in cases involving the liability of members of management bodies.

It focuses on both theoretical and practical issues and is of special relevance at a time when the Russian courts are actively applying Article 53.1 of the Russian Civil Code and the corresponding articles of corporate legislation.
