The thesis considers, among other things:
The legal and historical background to the development of the duties of members of management bodies;
the content of and main characteristics of such duties;
the circumstances in which members of management bodies can be held liable for a breach of their duties;
the burden of proof in cases involving the liability of members of management bodies.
It focuses on both theoretical and practical issues and is of special relevance at a time when the Russian courts are actively applying Article 53.1 of the Russian Civil Code and the corresponding articles of corporate legislation.
